Regulated Instruments
The definition of "securities" is broad and includes:
- Shares and stock.
- Partnership interests (including interests in ELPs).
- Debentures and bonds.
- Warrants, options, and futures.
- Contracts for differences.
Regulatory Oversight and Liability
Under the securities-investment-business-act-2020, cima has broad powers to issue licences, conduct inspections, and enforce compliance.
- Registration and Deregistration Processes: The application procedures for registering or deregistering a securities investment business (including voluntary cessation, liquidation, or merger) are formally detailed in the securities-investment-business-registration-and-deregistration-regulations-2019.
- Registration and Annual Fees: Persons registered under the Act are subject to an initial registration fee of $6,000 and a subsequent annual fee of $6,000 (source: securities-investment-business-registration-and-deregistration-amendment-regulations-2024).
- Offences and Liability: Liability for breaches extends to directors of companies and, since 2023, explicitly to partners in general or exempted limited partnerships and persons in control of unincorporated associations (source: securities-investment-business-amendment-act-2023).
Interaction with Virtual Assets
SIBA is increasingly integrated with the regulation of digital assets. The 2024 amendments (source: SIBA Amendment and Validation Act 2024) allow for:
- Exemptions: CIMA may exempt virtual asset trading platforms from SIBA registration if they are already supervised under the virtual-asset-service-providers-act-2024.
- Definitions: The Act now uses definitions for "operators" and "platforms" consistent with the VASP regime.
