The Directors Registration and Licensing (Amendment) Act, 2023 broadens the scope of criminal liability under the directors-registration-and-licensing-act-2014.

Expanded Corporate Liability

The amendment extends liability for offences committed under the Act beyond traditional corporate bodies to explicitly include:

  • Partnerships (including exempted limited partnerships).
  • Limited Liability Partnerships (LLPs).
  • Unincorporated Associations.

Personal Accountability

Under the amended Section 28, if an offence is committed by one of these newly included entities, personal liability extends to the partners or persons concerned in the management or control of the association. They are liable to be proceeded against and punished if the offence:

  • Was committed with their consent or connivance; or
  • Is attributable to any neglect on their part.
